Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Komorebi Infrastructure LLC, a limited liability company organized under the laws of the State of Florida, United States (“Komorebi Hub,” “we,” “us,” or “our”), governing your access to and use of the website at komorebihub.com and any content, features, or forms made available through it (together, the “Site”).

By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. Eligibility

The Site is intended for business users. You must be at least 18 years old and able to form a binding contract to use it. If you use the Site on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms, and “you” refers to both you and that entity.

2. The Site is informational

The Site describes our services and lets you contact us. Content on the Site is provided for general informational purposes and does not constitute professional, technical, financial, or legal advice, and is not a binding offer. We may change, suspend, or discontinue any part of the Site at any time without notice.

3. Inquiries do not create a client relationship

Submitting the inquiry form or otherwise contacting us does not create a consulting, client, or other professional engagement, and does not obligate either of us to proceed. Any engagement between us begins only under a separate written agreement signed by both parties, which will govern the scope, fees, deliverables, and other terms of that work and will control over these Terms to the extent of any conflict. Please do not send confidential or proprietary information through the Site’s inquiry form.

4. Acceptable use

You agree not to, and not to attempt to:

• use the Site for any unlawful, fraudulent, or harmful purpose;
• submit false information, impersonate any person or entity, or misrepresent your affiliation;
• upload or transmit malware, or otherwise interfere with, disrupt, or compromise the Site or its security;
• access the Site through automated means (bots, scrapers, harvesters) except for compliant search-engine indexing, or attempt to gain unauthorized access to any system or data;
• use the inquiry form to send spam, chain messages, advertising, or unsolicited solicitations;
• copy, reproduce, republish, or exploit the Site’s content except as expressly permitted below;
• infringe our or any third party’s intellectual property or other rights.

5. Intellectual property

The Site and its contents — including text, design, layout, graphics, logos, and the “Komorebi Hub” name and branding — are owned by Komorebi Infrastructure LLC or its licensors and are protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and view the Site for your own internal, non-commercial evaluation. All rights not expressly granted are reserved. You may not use our names, logos, or trademarks without our prior written permission.

6. Your submissions

You retain ownership of the information you submit through the Site. By submitting it, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process that information for the purpose of responding to you, evaluating a potential engagement, and operating the Site, consistent with our Privacy Policy. You represent that you have the right to provide the information you submit and that it does not violate any law or third-party right.

7. Third-party links and services

The Site may reference or link to third-party websites, tools, or services that we do not control. We provide these for convenience only and are not responsible for their content, policies, or practices. Your use of them is at your own risk and subject to their terms.

8. Disclaimer of warranties

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY INFORMATION ON IT IS ACCURATE, COMPLETE, OR CURRENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOMOREBI INFRASTRUCTURE LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). THESE LIMITATIONS ARE A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN US.

10. Indemnification

You agree to indemnify, defend, and hold harmless Komorebi Infrastructure LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with your use of the Site, your submissions, or your breach of these Terms or of any law or third-party right.

11. Privacy

Our collection and use of personal information through the Site is described in our Privacy Policy, which is incorporated into these Terms by reference.

12. Governing law & dispute resolution

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. Before filing any claim, you agree to first contact us at legal@komorebihub.com and attempt to resolve the dispute informally in good faith for at least 30 days. If we cannot resolve it, you agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction of those courts. Nothing here prevents either party from seeking injunctive relief to protect its intellectual property or confidential information.

13. Changes to these Terms

We may revise these Terms from time to time. The “Last updated” date above shows when. Changes take effect when posted, and your continued use of the Site means you accept the revised Terms. If you don’t agree to a change, stop using the Site.

14. General

• Entire agreement. These Terms and the documents referenced in them are the entire agreement between you and us regarding the Site and supersede prior understandings about it.
• Severability. If any provision is held unenforceable, the rest remains in effect, and the unenforceable provision will be enforced to the maximum extent permitted.
• No waiver. Our failure to enforce a provision is not a waiver of it.
• Assignment. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• No third-party beneficiaries. These Terms create no rights in anyone other than you and us.
